Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Canli Pazarci (the "Service"), operated from Türkiye. By creating an account or using the Service, you agree to these Terms, our Privacy Policy & KVKK Clarification Notice, our Distance Sales Contract (where a paid plan is purchased), and our Cancellation & Refund terms. If you do not agree, do not use the Service.

2. The Service

Canli Pazarci helps merchants detect Instagram live and post comments, classify related comments with AI, draft sales replies, and manage commenters/leads in a simple CRM. Features may change as we improve the product. The Service depends on Meta/Instagram platform availability and your valid connection of a Professional Instagram account.

3. Accounts and eligibility

You must be at least 18 years old and have full legal capacity under Turkish law to enter into these Terms. You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

4. Acceptable use

You agree not to:

• Use the Service in violation of applicable law (including Law No. 6698 on the Protection of Personal Data — KVKK), Meta/Instagram policies, or third-party rights
• Process personal data of commenters or customers unlawfully; as merchant/user you remain responsible for your own KVKK obligations toward those individuals
• Attempt to access data or systems you are not authorized to use, or interfere with the Service (including malware or abusive automated traffic)
• Misrepresent your identity or affiliation, or use the Service for spam, fraud, or harassment

5. Your content and Instagram data

You retain rights to content you submit. By connecting Instagram accounts, you grant us a limited license to process comment and related data solely as needed to operate, secure, and improve the Service. You are responsible for complying with Meta's terms for any account you connect and for having a lawful basis to process commenter data through the Service.

6. Personal data

Processing of personal data in connection with the Service is described in our Privacy Policy & KVKK Clarification Notice. Where you act as a data controller for commenters/customers, you must provide your own clarification notices and obtain any required consents.

7. Fees and payment

The Service is offered under a hybrid fee model published on our website: a one-time setup fee (10,000 TRY), a recurring subscription (3,000 TRY per month, or 25,200 TRY per year — 30% off the monthly rate when billed yearly), and usage-based charges. Spam or filtered noise comments are not billed. Each AI comment classification, comment reply draft, or conversation follow-up is billed at 0.50 TRY. Fixed keyword replies are not billed. Messages you type and send yourself from the dashboard are not billed. Graph delivery of an AI reply is not billed separately. Fees are in Turkish lira (TRY) and may be subject to applicable taxes (e.g. VAT) as stated at checkout. Payments for the Service are collected by card through our licensed payment service provider when online checkout is enabled. Distance selling preliminaries and withdrawal rules are set out in the Distance Sales Contract and Cancellation & Refund pages. We may update published prices; material changes will be reflected on the website and by updating the "Last updated" date on these Terms. Unpaid amounts may result in suspension of access. Mandatory consumer rights under Turkish law remain unaffected where they apply.

8. Disclaimers

Except where mandatory consumer or other Turkish law provides otherwise, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation, complete capture of every comment, or that AI classifications or draft replies will be accurate or suitable for any particular decision.

9. Limitation of liability

To the fullest extent permitted by Turkish law, Canli Pazarci and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under mandatory law (including, where applicable, Law No. 6502 on Consumer Protection for consumers).

10. Termination

We may suspend or terminate access if you violate these Terms, create legal or security risk, or if we discontinue the product. You may stop using the Service and delete your account at any time as described in the Data Deletion Instructions. Subscription cancellation and refunds follow the Cancellation & Refund page. Provisions that by their nature should survive will survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye. Subject to mandatory consumer venue rules where they apply, Istanbul (Çağlayan) Courts and Enforcement Offices shall have jurisdiction over disputes arising from these Terms or the Service. Consumers may also apply to Consumer Arbitration Committees or, where required, mediation before Consumer Courts.

12. Language

These Terms are provided in Turkish and English. In case of conflict between language versions, the Turkish text prevails for users in Türkiye.

13. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms, except where mandatory law requires additional notice or consent.
