Distance Sales Contract

1. Parties

This Distance Sales Contract ("Contract") is concluded electronically between the seller and the buyer for paid Canli Pazarci Service plans, under Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts, where those rules apply.

Buyer: the natural or legal person who creates a Canli Pazarci account and purchases the setup fee and/or a subscription (and any related usage fees) through the website checkout. Buyer identity is the registration and billing data provided at purchase.

2. Subject

The subject of this Contract is the remote sale of the Canli Pazarci software-as-a-service (SaaS) digital service: Instagram live/post comment capture tools, AI classification and reply drafting, CRM, and related dashboard features described on the website, in return for the published fees.

3. Essential characteristics

The Service includes, as available on the plan:

• Account access to the Canli Pazarci dashboard
• Instagram Professional account connection and comment/DM workflows within product limits
• AI-assisted classification and reply drafting subject to usage pricing
• CRM storage of commenters/leads for connected accounts

4. Price

Current list prices (TRY) are published on the website pricing section:

• One-time setup: 10,000 TRY
• Monthly subscription: 3,000 TRY
• Yearly subscription: 25,200 TRY (30% off the monthly rate when billed yearly)
• Usage: spam/filtered comments free; each AI classify or reply 0.50 TRY; messages you send yourself from the dashboard are free

Applicable taxes (e.g. VAT) are shown at checkout when charged. Confirming payment creates a payment obligation for the selected items.

5. Payment

Payment is made online by card through our licensed payment service provider (e.g. iyzico when enabled). The provider’s own terms and security pages apply to card processing. The Seller issues invoices for Service fees to the Buyer; the payment provider invoices the Seller for its commissions separately.

6. Performance / delivery

The Service is digital. After successful payment of the applicable setup and/or subscription fee, access is activated electronically without physical shipment, usually immediately or within a short processing window. Usage fees accrue as described when AI and messaging features are used.

7. Right of withdrawal

Where the Buyer is a consumer under Law No. 6502, a 14-day right of withdrawal may apply from the contract date, without giving a reason, subject to statutory exceptions for digital content/services that begin performance with the consumer’s express consent and acknowledgement that the withdrawal right is lost once performance starts. Business (non-consumer) buyers are governed by the commercial agreement and Cancellation & Refund terms.

8. Obligations

Seller: provide the Service with reasonable care; keep legal notices available; process personal data under the Privacy Policy; handle consumer applications as required by law.

Buyer: provide accurate account and billing data; use the Service lawfully and per Meta policies; pay fees when due; keep credentials secure.

9. Personal data

Personal data for this Contract are processed under the Privacy Policy & KVKK Clarification Notice.

10. Force majeure

Neither party is liable for failure caused by events beyond reasonable control (including widespread infrastructure outages, Meta platform unavailability, war, natural disaster, or government acts), for the duration of the event.

11. Disputes

Turkish law applies. Consumers may apply to Consumer Arbitration Committees and, where required, mediation before Consumer Courts; otherwise Istanbul (Çağlayan) Courts and Enforcement Offices have jurisdiction, subject to mandatory venue rules.

12. Formation and language

The Contract is formed when the Buyer completes checkout and payment is authorised for the selected plan. Turkish and English versions may be shown; for users in Türkiye the Turkish text prevails in case of conflict. Seller registry fields marked as placeholders will be updated when company details are final; the Contract remains valid for the digital Service described herein.
